Our purchase policy governs the acquisition, renewal, and payment of subscriptions and services.

1. Introduction

This Purchase Policy (“Policy”) governs the acquisition, renewal, and payment of subscriptions and services offered through FluxLMS, a Software-as-a-Service (SaaS) platform operated by Vidhvantri Technologies LLP (“Vidhvantri”, “we”, “us”, or “our”). It supplements the FluxLMS Terms and Conditions and applies to all transactions conducted via the Platform. By initiating a purchase, the User (“Purchaser”) agrees to be bound by this Policy, the Terms and Conditions, the Privacy Policy, and any applicable ancillary policies.

2. Stakeholders

  • Purchasers: Any natural or juristic person including individual learners, educators, academic institutions, and corporate enterprises who acquire subscriptions or services.
  • Billing Entity: Vidhvantri Technologies LLP, a Limited Liability Partnership registered under the LLP Act, 2008, with its principal office in Chennai, Tamil Nadu, India.
  • Payment Gateways: Phonepe or any other — all PCI-DSS compliant and contractually bound to maintain confidentiality and data security.

3. Pricing

3.1 Standard Subscription Tiers (as per fluxlms.vidhvantri.in):

3.2 Enterprise Commitments:

  • Minimum 12-month contract
  • Pricing subject to Master Service Agreement (MSA)
  • Includes onboarding, SLA guarantees, and optional integrations

3.3 Taxes:

  • All prices are exclusive of applicable taxes including Goods and Services Tax (GST) at 18%, and any local withholding taxes or levies.
  • International pricing may vary based on currency conversion and local tax laws.
  • Vidhvantri reserves the right to apply surcharges for cross-border transactions or regulatory compliance costs.

4. Payment Terms

4.1 Billing Cycle

  • Subscriptions are billed on a monthly or annual basis depending on the selected plan.
  • Subscriptions auto-renew unless cancelled at least forty-eight (48) hours prior to the renewal date.
  • Cancellation must be initiated via the self-service portal or by written notice to admin.fluxlms@vidhvantri.in

4.2 Accepted Payment Methods

  • Credit and debit cards (Visa, Mastercard, RuPay);
  • Net banking
  • Unified Payments Interface (UPI)
  • Digital wallets (Paytm, PhonePe, etc.)

4.3 Currency

  • Primary billing currency is Indian Rupees (INR)
  • International transactions may be processed in USD or EUR via Stripe
  • Exchange rates are determined by the payment gateway at the time of transaction

4.4 Failed Payments

  • A grace period of three (3) calendar days is provided for failed payments
  • If payment is not received within the grace period, access may be suspended until dues are cleared
  • Repeated payment failures may result in termination of services and forfeiture of data access

5. Invoicing & Taxes

5.1 Invoices

  • GST-compliant electronic invoices are issued immediately upon successful payment
  • Invoices are sent to the registered email address of the Purchaser
  • Invoice details include GSTIN, HSN/SAC codes, and tax breakdown
  • Vidhvantri maintains invoice records for statutory audit purposes

5.2 Tax Responsibility

  • Purchasers are responsible for remitting any applicable VAT, sales tax, customs duties, or other levies in their jurisdiction
  • Vidhvantri shall not be liable for tax compliance outside India
  • Tax exemption certificates must be submitted prior to billing to be honored

6. Modifications

6.1 Pricing Changes

  • Vidhvantri reserves the right to revise pricing with thirty (30) days’ prior notice
  • Revised pricing becomes effective from the next billing cycle
  • No retroactive adjustments will be made for previously billed periods

6.2 Feature Changes

  • Feature enhancements may be introduced without additional charge at Vidhvantri’s discretion
  • Purchasers will be notified of material changes via email or Platform announcements

7. Refunds

  • Refunds are governed by the FluxLMS Refund Policy
  • Refunds are permitted only for billing errors or technical failures reported within seven (7) days of purchase
  • Custom and enterprise plans are non-refundable unless contractually agreed
  • Refunds are processed within ten (10) business days upon approval
  • Vidhvantri reserves the right to deny refund requests that do not meet eligibility criteria

8. Force Majeure

Vidhvantri shall not be liable for any failure or delay in payment processing or service delivery due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, cyberattacks, denial-of-service attacks, or governmental actions. Upon cessation of the Force Majeure Event, services shall resume with reasonable diligence.

9. Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India. Exclusive jurisdiction and venue for any dispute arising hereunder shall lie with the competent courts in Chennai, Tamil Nadu.

10. Disclaimer

Purchase of a subscription or service does not constitute a guarantee of learning outcomes, certification, or compliance with regulatory standards beyond those explicitly stated in the Service Level Agreement (SLA). Vidhvantri disclaims liability for any indirect, incidental, or consequential damages arising from the use of purchased services. No fiduciary, professional, or advisory relationship is created by the act of purchase.
